The attorneys at Kotz Sangster routinely act as counsel to many nonprofit and charitable organizations and associations, including charitable foundations. Recently, nonprofit organizations have begun attracting an increased level of scrutiny from federal, state, and local regulatory authorities. As such, our advice to our clients includes qualification of organizations as tax-exempt under the Internal Revenue Code, advice as to unrelated business taxable income, and assistance regarding exemptions for various state and local property and sales taxes, as well as Federal unemployment taxes. We also assist nonprofit organizations in planning corporate and business transactions to preserve their tax-exempt status and to comply with state law requirements. We also work with organizations to create planned giving programs, and members analyzing charitable giving transactions for donors as well as for the organizations themselves.
