Mr. Cnudde is a member of the Corporate Transactional practice group. His practice focuses primarily on general business and corporate transactions, mergers and acquisitions, entity selection, formation and reorganization of corporations, limited liability companies, partnerships and joint ventures, corporate governance and compliance, business and succession planning, including shareholder agreements, commercial financing, and contract review and negotiation.
Mr. Cnudde also assists companies in federal and state business tax planning, including tax free formations, distributions, reorganizations and split-offs, formation and business planning for nonprofit and tax exempt entities including application for tax exemption status with the Internal Revenue Service, and representation of Michigan tax appeals to the Michigan Tax Tribunal.
Mr. Cnudde received his Bachelor of Arts in Accounting from the Michigan State University - Eli Broad School of Business in 1999 and his Juris Doctorate, Cum Laude, from Michigan State University - Detroit College of Law in 2003, While at MSU Law, he participated in the MSU Law Tax Clinic and authored a directed study research article on the Michigan Property Tax Foreclosure System. Mr. Cnudde also authored articles and seminars covering various Michigan and federal business tax planning topics, such as employee leasing companies, unrelated taxable income for nonprofit companies, federal transfer pricing guidelines and deferred compensation requirements.
Prior to joining Kotz, Sangster, Wysocki and Berg, P.C., Mr. Cnudde practiced for four years as a business and tax attorney in East Lansing Michigan, working for the Michigan Attorney General's Office - Revenue Division representing the State of Michigan in state tax litigation, worked for the PricewaterhouseCoopers State and Local Tax practice, and was an active member and on the Board of Directors for the East Lansing Kiwanis Club, including being nominated as the 2006 Kiwanian of the Year.
