Mr. Wysocki's practice includes: Business and Corporate Law, including bond transactions, business planning and corporate governance, closely held businesses, commercial lending, director and officer liability, dissolutions, mergers and acquisitions, partnerships, joint ventures and limited liability companies, restructurings and start-ups; Commercial Lending, including secured and unsecured financing and loan work-outs; Intellectual Property Law, including confidentiality agreements, covenants not to compete, and licensing and technology exchanges; International Law, including business entity formation – U.S. and non U.S. formation, contracts, joint ventures, subsidiaries and branches, technology exchange and licensing, and mergers and acquisitions; Probate, Trust Law and Estate Planning, including wills and trust, estate and trust administration and tax planning for estate planning and planning for owners of closely-held and family businesses; and Real Property Law, including acquisitions and sales of properties, commercial, industrial and residential development, commercial leases, construction contracts and architectural contracts, title investigation and insurance, financing, zoning and governmental regulation, and tax planning.

Mr. Wysocki's career has focused on advising closely held, entrepreneurial companies which requires creative solutions to help achieve the entrepreneurial client's goals and objectives. Mr. Wysocki appreciates the business and economic concerns that drive many transactions in todays competitive marketplace and possesses the requisite degree of legal expertise to structure and consummate complex business matters.

Mr. Wysocki advises and assists clients in structuring, restructuring and liquidating corporations, partnerships, joint ventures and limited liability companies.

Mr. Wysocki's business planning expertise enables him to assist clients with entity formation issues, negotiating commercial transactions and preparing the appropriate documentation, providing the client with assistance in connection with negotiating and structuring mergers and acquisitions transactions, and counseling the client in commercial finance, corporate finance and bond transactions.

Many of the clients Mr. Wysocki serves are family business owners. Mr. Wysocki has developed a particular expertise in addressing the special needs of family businesses including an expertise in developing and implementing business succession plans. Mr. Wysocki's closely held/family business practice also involves a wide range of estate planning situations, ranging from those requiring a grantor trust to those which entail the interrelated use of sophisticated planning techniques and gifting strategies.

As a result of the cyclical business climate of the Detroit business market in general and the automotive market specifically, Mr. Wysocki has developed an expertise in representing clients who are thrust into “work-out” situations, including assisting in the development and implementation of a turn around strategy, negotiating forbearance agreements and voluntary surrender agreements with secured creditors, and assisting clients in non-bankruptcy insolvency proceedings, including composition arrangements and state law liquidation procedures such as assignments for the benefit of creditors . Mr. Wysocki has also participated in a wide variety of bankruptcy insolvency proceedings.

As a result of Mr. Wysocki's representation of private real estate investors and developers, Mr. Wysocki has extensive experience in commercial and residential real estate transactions. Mr. Wysocki has counseled clients with respect to drafting and negotiating purchase agreements, leases and closing documents, obtaining title insurance coverage, conducting necessary due diligence and arranging for and negotiating financing. Mr. Wysocki is regularly involved in establishing joint ventures, either in the form of partnerships or limited liabilities companies, for the acquisition, development, operation and disposal of real estate, while optimizing the allocation of tax benefits to investors. Deferring tax on appreciated real estate through deferred like-kind exchange mechanisms is a significant part of Mr. Wysocki's practice.

Mr. Wysocki's goal is to first understand his client's business philosophy and then to provide legal services in a manner consistent with the client's business philosophy.
